License Agreement

The accompanying software is licensed, not sold. This License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and TeamSoftware Solutions ("Team Software"), for the software product identified above. By installing, copying, or otherwise using this software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use this software.

1. Grant of License. Team Software grants you the right to use one copy of this software on a single computer. If you have a paid license, you may use this software for the duration of your license period. If you are using an evaluation copy, you may use this software for evaluation purposes only for a period of thirty (30) days from the date of installation.

2. Description of Other Rights and Limitations.

a) You may not reverse engineer, decompile, or disassemble this software, except and only to the extent that applicable law notwithstanding this limitation expressly permits such activity.

b) You may not rent, lease, or lend this software.

c) You may not distribute this software as part of a commercial product without the express written consent of Team Software.

d) You may not remove or alter any proprietary notices, labels, or marks on the product and its copies.

3. Copyright. All title and copyrights in and to this software (including but not limited to any images, photographs, animations, video, audio, music, text, and other files incorporated therein) and any copies of this software are owned by Team Software or its suppliers. This Agreement does not grant you any rights to use trademarks, logos, or other marks of Team Software.

4. U.S. Government Restricted Rights. This software and documentation are provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of The Rights in Technical Data and Computer Software clause at 52.227-7013 or DFARS 252.227-7014 (as applicable). Contractor is TeamSoftware Solutions, 2017 24th St SE, Rochester, MN 55904.

5. Export Compliance. This software, including technical data, is subject to the export control laws and regulations of the United States, including the Export Administration Regulations (EAR), and may be subject to export or import regulations in other countries. You agree to comply with all such laws and regulations.

6. Disclaimer of Warranty. THIS SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU. SHOULD THE SOFTWARE PROVE DEFECTIVE, YOU (AND NOT TEAM SOFTWARE OR ANY OTHER CONTRIBUTOR) ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION.

7. Limitation of Liability. IN NO EVENT WILL TEAM SOFTWARE BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES, INCLUDING ANY LOST PROFITS OR LOST DATA, ARISING OUT OF THE USE OR INABILITY TO USE THIS SOFTWARE, EVEN IF TEAM SOFTWARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Termination. Without prejudice to any other rights, Team Software may terminate this Agreement if you fail to comply with the terms and conditions of this Agreement. In such event, you must destroy all copies of this software.

9. Governing Law. This Agreement is governed by the laws of the State of Minnesota, United States of America.

10. Entire Agreement. This Agreement constitutes the entire agreement between you and Team Software with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, communications, and agreements, whether written or oral.
